Terms of Service

The terms that govern access to and use of IMFA Agents.

1. Agreement

These Terms of Service ("Terms") govern your access to and use of IMFA Agents, including its website, dashboard, agent builder, APIs, MCP tools, hosted chat experiences, voice features, connected channels, subscriptions, and credits. By creating an account or using the service, you agree to these Terms and the Privacy Policy.

If you use the service for a business or another organization, you represent that you have authority to accept these Terms for that organization. In that case, "you" includes the organization.

2. Eligibility and accounts

You must be legally capable of entering into these Terms. You must provide accurate account information, keep credentials secure, and promptly notify us if you suspect unauthorized access. You are responsible for activity performed through your account, API keys, MCP tokens, agents, and connected channels unless applicable law provides otherwise.

You may not sell, transfer, or share an account in a way that defeats authentication, plan limits, or security controls.

3. The service

IMFA Agents lets you configure, publish, and operate AI agents using prompts, knowledge sources, models, tools, APIs, voice, and third-party communication channels. Features may differ by plan, provider availability, region, or technical capability.

We may improve, replace, limit, or discontinue features. We will provide notice when required by law or when a material change reasonably allows advance notice.

4. Your content and agents

You retain ownership of content you submit. You grant us and our service providers a limited, worldwide license to host, copy, transmit, transform, and process that content only as needed to operate, secure, support, and improve the service as permitted by these Terms and your privacy choices.

You are responsible for:

  • having the rights and lawful basis needed to submit and process content;
  • configuring your agents, prompts, tools, integrations, and access controls appropriately;
  • providing required notices and obtaining required permissions from agent visitors;
  • reviewing agent behavior and output before using it in consequential workflows;
  • responding to requests concerning personal data you collect through your agents;
  • ensuring your use complies with applicable laws, professional duties, and platform rules.

We may remove or restrict content that violates these Terms, creates security or legal risk, or infringes another person's rights.

5. AI output

AI systems are probabilistic. Output may be inaccurate, incomplete, offensive, outdated, or unsuitable for your purpose. You must evaluate output before relying on or publishing it.

The service is not a substitute for qualified professional judgment. Do not use output as the sole basis for legal, medical, financial, employment, credit, housing, education, insurance, or other high-impact decisions. You are responsible for human review and any notices, consents, testing, or safeguards required for your use case.

6. Acceptable use

You must not use the service to:

  • violate laws, regulations, sanctions, court orders, or third-party rights;
  • facilitate violence, exploitation, harassment, unlawful discrimination, fraud, phishing, malware, or credential theft;
  • create deceptive impersonation or falsely claim that AI output came from a person;
  • collect personal data without a lawful basis or required notice;
  • upload content you do not have permission to use;
  • send spam or unsolicited communications contrary to applicable rules;
  • bypass authentication, plan restrictions, credit enforcement, rate limits, or security controls;
  • probe, scan, disrupt, overload, reverse engineer, or compromise the service except where law expressly permits;
  • expose secrets, tokens, or private knowledge sources to unauthorized people;
  • resell or provide the service in a way that violates these Terms or an applicable written agreement.

7. Third-party services

The service can connect to AI providers, payment processors, messaging platforms, public websites, and other third-party services. Their terms and privacy practices apply to their services. We are not responsible for third-party content, availability, policy changes, or actions outside our reasonable control.

You authorize us to send the data and instructions necessary to a third-party service when you select, connect, or invoke it.

8. Plans, subscriptions, and credits

Prices, included usage, renewal periods, taxes, and material purchase terms are shown before checkout or in the billing interface. Paid subscriptions renew according to the billing terms displayed at purchase until canceled. You authorize the payment provider to charge the selected payment method for amounts due.

Credits measure eligible service usage and are not money, a bank balance, or transferable property. Included credits and purchased credit packs may have different renewal, expiration, refund, or usage rules as displayed in the product. We may correct balances affected by fraud, chargebacks, duplicate credits, or technical errors.

Except where required by law or expressly stated at purchase, fees and consumed credits are not refundable. Canceling a subscription stops future renewals but does not automatically refund the current period.

9. APIs, tokens, and connected channels

Keep API keys, MCP tokens, provider credentials, and channel secrets confidential. Use the narrowest access needed, rotate credentials after suspected exposure, and revoke credentials that are no longer used.

You are responsible for traffic generated through your credentials and for complying with the rules of connected platforms. We may limit or revoke access that threatens security, causes abuse, or violates these Terms.

10. Intellectual property

The service, software, interface, branding, documentation, and related technology are owned by the IMFA operator or its licensors and are protected by applicable intellectual-property laws. Except for rights expressly granted in these Terms, no rights are transferred to you.

Feedback may be used without restriction or payment, provided we do not publicly identify you as its source without permission.

11. Privacy

Our Privacy Policy explains how we handle personal data. If you process visitor or customer data through an agent, you are responsible for determining whether an additional data-processing agreement, privacy notice, consent flow, or other safeguard is required.

12. Availability and beta features

We work to keep the service reliable, but availability is not guaranteed. Maintenance, provider outages, internet failures, security incidents, or events outside our reasonable control can interrupt access.

Preview, experimental, or beta features may change or stop without notice and may be less reliable than generally available features. Do not use them for workflows that require guaranteed availability or accuracy.

13. Suspension, termination, and deletion

You may stop using the service, cancel a subscription, or request account deletion through the available account controls.

We may suspend or terminate access when reasonably necessary to prevent harm, investigate abuse, comply with law, address nonpayment, or enforce these Terms. Where appropriate, we will provide notice and an opportunity to resolve the issue.

After termination, provisions that by their nature should survive will remain effective, including payment obligations, ownership, disclaimers, limitations, and dispute provisions.

14. Disclaimers

To the fullest extent permitted by law, the service is provided "as is" and "as available." We do not promise that the service or AI output will be uninterrupted, error-free, secure, accurate, or suitable for every purpose. Any warranties that cannot lawfully be excluded remain in effect.

15. Limitation of liability

To the fullest extent permitted by law, the IMFA operator and its suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities arising from the service.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including mandatory consumer protections.

16. Disputes and applicable law

Before starting a formal claim, please contact us and describe the issue so both sides can try to resolve it informally. These Terms are governed by the laws that apply to the IMFA operator and your use of the service, without limiting any mandatory rights you have under the law of your residence. A court or authority with lawful jurisdiction may hear a dispute.

17. Changes to these Terms

We may update these Terms to reflect service, legal, security, or business changes. We will post the revised Terms with a new effective date and provide additional notice when required. Continuing to use the service after updated Terms take effect means you accept them, except where law requires another form of agreement.
